Binding Contractual Instrument
This Fellowship Participation Agreement ("Agreement") is entered into between the Johann Christian Hasse Foundation ("Foundation"), acting as institutional steward of the c-ECO framework, and the Silvio Meira Institute ("Institute"), acting as operational and implementation partner, collectively the "Program Administrators"; and the individual Fellow identified below.
This Agreement establishes a non-employment relationship governed by New York law and creates binding legal obligations regarding participation in the c-ECO Fellowship Program. Execution of this Agreement is required for Fellowship entry.
PARTIES AND PREAMBLE
[FPA-PARTIES-001] Parties
THE JOHANN CHRISTIAN HASSE FOUNDATION, a non-profit organization organized and existing under the laws of [Jurisdiction], with its principal offices at 2504 Grandview Circle, Columbia, MO 65203, United States of America ("Foundation"), acting as institutional steward of the c-ECO framework; and
THE SILVIO MEIRA INSTITUTE, a limited liability company organized under the laws of Delaware, with its principal offices at 4215 Lindy Circle, Orlando, FL 32827, United States of America ("Institute"), acting as operational and implementation partner for applied studies and project execution;
The Foundation and the Institute are collectively referred to as the "Program Administrators" (individually or collectively, "Program");

The Program Administrators and Fellow may be referred to individually as a "Party" and collectively as the "Parties."
[FPA-PREAMBLE-001] Preamble
WHEREAS, the Program operates the c-ECO Fellowship Program ("Fellowship"), a structured analytical initiative designed to operationalize the c-ECO governance architecture through collaborative research and systemic analysis;
WHEREAS, the Fellowship operates as a globally accessible program designed to identify and engage high-capacity analytical talent independent of geographic or institutional origin;
WHEREAS, c-ECO constitutes the governing methodological authority for all analytical activity conducted under the Fellowship, including but not limited to the pre-threshold principle, systemic compatibility analysis, temporal validity protocols (âˆ’ÆŠĪ„Îŋ), and non-retrospective logic;
WHEREAS, in the event of interpretative conflict, c-ECO methodological principles shall prevail over individual analytical discretion;
WHEREAS, the Fellow seeks to participate in the Fellowship as an Analytical Agent within a Systemic Governance Architecture, contributing to the Program's objectives while adhering to the governance, methodological, and ethical standards established herein;
WHEREAS, the Parties recognize that this Agreement establishes a non-employment relationship governed by specific contractual parameters designed to ensure institutional integrity, methodological coherence, and systemic compatibility;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the Parties agree as follows:
CONTRACTUAL PROVISIONS
[FPA-ART-001] Article I — Nature of Relationship
Section 1.1 Non-Employment Status
The Parties expressly acknowledge and agree that:
(a) No Employment Relationship: This Agreement does not create an employment relationship between the Fellow and the Program, the Foundation, the Institute, or any affiliated entity. The Fellow is not an employee, worker, or staff member for any purpose, including but not limited to labor law, tax law, social security, or benefits eligibility.
(b) Independent Participation: The Fellow participates in the Fellowship as an independent analytical contributor, retaining autonomy over their analytical methodology within the constraints of c-ECO compliance and this Agreement.
(c) No Integration: The Fellow shall not be integrated into the operational command structure of the Foundation, the Institute, or any partner institution. Participation does not confer membership, partnership, or equity interest in any entity.
Section 1.2 No Agency Authority
The Fellow has no authority to:
(a) Enter into contracts, agreements, or binding commitments on behalf of the Program, Foundation, Institute, or any third party;
(b) Make representations, warranties, or statements that may be construed as official positions of the Program or its affiliated entities;
(c) Incur expenses, obligations, or liabilities chargeable to the Program without prior written authorization.
Section 1.3 No Representation Rights
Unless expressly authorized in writing by the Program Director or designated authorized representative:
(a) The Fellow shall not represent themselves as a spokesperson, official representative, or decision-maker for the Program;
(b) The Fellow shall not use titles, designations, or affiliations that imply employment or institutional authority beyond "c-ECO Fellow" or such other designation as the Program may expressly approve.

Critical Distinction

C. Hierarchy and Integration
In case of conflict between instruments, the following hierarchy shall apply (highest to lowest):
I — c-ECO Terms & Conditions for Services (public);
II — This FPA (including Exhibits A-D);
III — CSAM (Exhibit D) for specific case governance;
IV — MNDA (Exhibit E) if executed;
V — MSA (Exhibit F) with specific Client;
VI — SOW (Exhibit G) under that MSA;
[FPA-ART-013] Article XIII — Client Engagement Authority
Section 13.1 Authority to Use Templates
The Fellow is authorized to use the Program's standardized contractual templates (Exhibits E-G) for engagement with third-party clients, subject to:
I — Prior written approval from Program Administrators for each client engagement;
II — Compliance with all methodological and governance requirements;
III — Maintenance of c-ECO framework integrity;
IV — Timely reporting of all client engagements and outcomes.
Section 13.2 No Independent Authority
The Fellow may not:
I — Modify template language without Program approval;
II — Represent the Program as having endorsed any client;
III — Commit the Program to obligations beyond template scope;
IV — Use c-ECO framework with clients absent valid MSA execution.
Section 13.3 Incorporation of Public Terms
All MSAs executed by the Fellow with clients shall incorporate by reference the c-ECO Terms & Conditions for Services, publicly available at https://c-eco.org/service-terms , which establish:
I — Conditional, non-exclusive, non-transferable framework authorization;
II — Case-specific and time-bound scope limitations;
III — Methodological compliance requirements;
IV — Data governance and confidentiality obligations;
V — Revocation procedures.
Section 13.4 License and OCAP Pathway
Upon successful client engagement under these templates, the Fellow may become eligible for:
I — c-ECO license authorization for the specific case;
II — Participation in OCAP (effect-based value sharing);
III — Title acquisition within Fellowship structure.
EXECUTION
IN WITNESS WHEREOF, the Parties have executed this Fellowship Participation Agreement as of the dates indicated below.
